Terms of Use

1. Who you are agreeing with

WellSite is operated by SME Pro Technologies, LLC ("we", "us"). These terms govern your use of the WellSite web application and marketing site at wellsite.app, the WellSite field application at mobile.wellsite.app, the former address ediefile.com, and any related service we provide (together, "WellSite").

By creating an account or using WellSite you accept these terms. If you are accepting on behalf of a company, you are confirming you have authority to bind that company, and "you" means that company.

2. What WellSite is, and what it is not

WellSite is production reporting software for oil and gas operators. It helps you gather production volumes, keep well and lease records, prepare state production reports, and produce filing outputs in the formats agencies accept.

3. Your account

You need a working email address to create an account, and you must confirm it before the workspace opens. Keep your password to yourself. You are responsible for what happens under your account, including anything done by people you invite into your workspace.

Tell us at support@smeprotech.com if you believe somebody has your credentials. We can end every live session on your account immediately.

4. Plans, districts and what you pay for

WellSite is priced per reporting district, not per well. In Texas that is the Railroad Commission district; in other states it is that agency's district equivalent. Wells are unlimited on every plan, and adding a well to a lease you already report on does not change what you pay.

Current prices are shown in the application and on wellsite.app. If your district count changes, tell us and we will adjust the next invoice rather than bill you retrospectively.

5. The trial

New accounts get a seven day trial covering the reporting workspace: mapping, imports, document intelligence, the compliance calendar and form previews. Populated form downloads and electronic submittal outputs activate with a paid plan. Radar, Telemetry, Locate and Subsurface are not part of the trial.

When the trial ends the workspace becomes read only. Nothing is deleted, and export keeps working.

6. Invoicing and payment

You can pay by card through our payment provider, or ask to be invoiced and pay by ACH transfer, check, wire or against a purchase order. Requesting an invoice does not start a plan by itself; we confirm terms with you first.

Unless we agree otherwise in writing, invoices are due net 30 from the invoice date. Subscriptions renew for the same period unless you tell us to stop before the renewal date. Prices are exclusive of any sales, use or similar taxes, which are yours to pay where they apply.

7. Late payment and read-only

If an invoice passes its due date we will tell you. If it stays unpaid past the grace period shown in the application, the workspace becomes read only.

Read only means read only. Your records stay exactly where they are, you can still open them, and export still works. We do not hold your filing history hostage over an unpaid invoice, because it is the one thing you cannot reconstruct. Paying the invoice restores write access.

8. Your data belongs to you

Everything you put into WellSite is yours: your wells, leases, volumes, documents, filing history and any output produced from them. We claim no ownership of it.

We use it to run the service for you and for nothing else. We do not sell it. We do not share it with other operators. We do not use one customer's production data to inform what another customer sees.

9. Agency data and the operator directory

WellSite also holds public records published by state agencies: operator registrations, lease and well listings, field designations and district assignments. That data is public and is not yours or ours. We gather it from each agency's own published sources.

Agency data can be wrong, stale, or missing at source, and we pass it through as published rather than guessing at corrections. Where our own records differ from an agency's, the agency is authoritative.

10. Accuracy, and where responsibility sits

We work hard to make WellSite's calculations, forms and outputs correct, and we test them. We cannot guarantee that every output is accepted by every agency in every circumstance, and requirements change without notice.

11. Acceptable use

Do not use WellSite to break the law, to submit anything you know to be false to a regulator, or to gain access to data belonging to another operator. Do not scrape, resell or redistribute the operator directory, and do not attempt to work around the limits on it. Do not probe, load-test or attack the service; if you want to test something, ask us.

12. Availability

We aim to keep WellSite available continuously and publish its current state at /status. We do not offer a contractual uptime guarantee unless one is written into a separate agreement with you. We will give notice of planned maintenance where we reasonably can.

13. Suspension

We may suspend an account for non-payment past the grace period, for a breach of section 11, or where we reasonably believe continued access threatens the security of the service or another customer's data. Suspension does not delete anything. We will tell you why, and what would resolve it.

14. Cancelling, and getting your data out

You can cancel at any time. Cancellation takes effect at the end of the period you have paid for; we do not refund part periods unless we have agreed otherwise.

Export your data before you go. Export is available throughout, including while an account is read only. After cancellation we keep your workspace for 90 days so you can change your mind or retrieve something you missed, then delete it. If you want it deleted sooner, ask at privacy@smeprotech.com and we will.

15. Intellectual property

WellSite, its software, interface and documentation are ours. Using the service does not transfer any of that to you. You may not copy, decompile or reverse engineer the software, or use it to build a competing product.

You give us permission to host, process and display your data solely to provide the service to you. That permission ends when your data is deleted.

16. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect or consequential loss, and our total liability arising out of or in connection with WellSite in any twelve month period is limited to the fees you paid us in that period.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

WellSite is provided as it is. Except as expressly stated in these terms, we make no warranties of any kind, including any implied warranty of merchantability or fitness for a particular purpose.

17. Changes to these terms

We may change these terms. If a change materially affects your rights we will tell you by email at least 30 days before it takes effect, and you may cancel before then if you do not accept it. The date at the top of this page always shows when it last changed.

18. Governing law

These terms are governed by the laws of the State of Texas, and the courts of the State of Texas have exclusive jurisdiction over any dispute arising from them.
